1. Scope and agreement
These Terms govern access to the Alignis website and platform operated by STRANSFORM Limited. They apply to visitors and authorised users. If your organisation has signed an Order Form, Master Services Agreement, Statement of Work, Data Processing Agreement, Service Level Agreement or other contract with us, that signed agreement takes precedence where it conflicts with these Terms.
Government and enterprise use may require negotiated procurement, security, service, records and data processing terms. These Terms do not replace those arrangements.
2. Eligibility, authority and accounts
You must be legally able to use Alignis and, where acting for an organisation, authorised to do so. Platform accounts are created or invited by customer administrators or authorised Alignis administrators. There is no public self-registration flow.
- Provide accurate account information and keep it current.
- Keep credentials confidential and do not share an account.
- Notify your administrator or us promptly about suspected unauthorised access.
- Use only the workspace, records and functions assigned to you.
3. Customer administrators
Customer administrators configure organisation structures, users, roles, reporting relationships, policies and workflow settings. The customer is responsible for choosing appropriate administrators, reviewing their access, giving required notices to personnel, and ensuring its instructions and use of Alignis are lawful.
4. Permitted use
You may use Alignis for legitimate organisational performance management, including approved planning, allocation, review, appraisal, reporting, dispute and improvement processes supported by your workspace.
You must not probe or bypass access controls, introduce malicious code, scrape the service, disrupt availability, use an account belonging to another person, reverse engineer protected parts of the service except where law permits, upload unlawful or infringing material, or use Alignis to harass, discriminate against or unlawfully monitor another person.
5. Customer data and responsibilities
As between the customer and STRANSFORM Limited, the customer retains its rights in data submitted to its workspace. The customer gives us the limited rights needed to host, process, transmit, back up and present that data to provide and protect Alignis.
The customer is responsible for the accuracy, quality, lawfulness and authorised collection of its data, including employee and officer notices, lawful bases, access assignments, retention instructions and any special handling required for sensitive or employment-related information. Users must not upload evidence or comments that are unnecessary, abusive or outside an authorised process.
6. Performance information and human decisions
Alignis stores entered measures, progress, comments, approvals and scores and may calculate totals or dashboard summaries from configured data. Alignis does not independently decide whether a person should be employed, disciplined, promoted, compensated or dismissed.
Customers remain responsible for reviewing source records, correcting errors, applying their policies, hearing disputes and ensuring meaningful human review before making a personnel decision. A score or status in Alignis should not be treated as the sole basis for a significant employment decision.
7. Confidentiality and security
Each party must protect confidential information it receives and use it only for the relevant service or contract. Users must follow customer security instructions. We use access controls, organisation scoping, audit records and other technical and organisational measures described in our security materials, but no online service can be guaranteed to be free of every risk.
8. Intellectual property and feedback
Alignis, its software, branding, interface, documentation and related materials belong to STRANSFORM Limited or its licensors. Except for the limited right to use the service under these Terms or a signed agreement, no intellectual property rights are transferred.
If you provide feedback, we may use it to improve Alignis without an obligation to pay you, provided we do not publicly identify you or disclose confidential customer information without permission.
9. Third-party services
Alignis relies on service providers for hosting, database and authentication services, email delivery and error monitoring. Their availability can affect the service. Links to external websites are provided for convenience and are governed by the terms and privacy practices of the relevant third party.
10. Fees, taxes and purchasing terms
Fees, taxes, payment schedules, licence scope and purchasing terms are set out in the signed Order Form or other commercial agreement with the customer. The public website does not currently offer self-service payment or subscription purchase.
11. Service changes and maintenance
We may maintain, update or change Alignis to improve security, reliability or functionality. Material commitments about support, maintenance windows, service levels or availability apply only when stated in a signed agreement. We will use reasonable efforts to communicate material changes that affect contracted use.
12. Suspension and termination
Access may be limited or suspended to address a security risk, unlawful use, material breach, non-payment under an applicable agreement, or an instruction from the customer. Termination rights and notice periods are governed primarily by the signed customer agreement. Individual users should contact their organisation administrator about account closure.
13. Data export, return and deletion
Alignis includes exports for certain performance records and import templates. Broader return, migration, retention and deletion arrangements must be agreed with the customer. We do not promise immediate or automatic deletion. After termination, data handling remains subject to the signed agreement, customer instructions, technical backup cycles and applicable legal or records obligations.
14. Disclaimers
To the extent permitted by law, the website and any trial or demonstration environment are provided without a promise that they will be uninterrupted or error-free. Alignis is a record and workflow tool, not legal, employment, accounting or professional advice. Mandatory rights that cannot lawfully be excluded remain unaffected.
15. Liability
Liability for contracted customers is governed by the signed customer agreement. For website visitors and users without a signed agreement, neither party excludes liability that cannot lawfully be excluded. Any other limitation must be interpreted fairly and in accordance with applicable Nigerian law. No indemnity is created by these public Terms.
16. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Before starting formal proceedings, the parties should first raise the matter through the relevant customer administrator and then contact us so that a good-faith resolution can be attempted. A signed customer agreement may specify a different escalation or dispute process.
17. Changes to these Terms
We may update these Terms when the service, law or our operating practices change. We will post the revised version and effective date. Where a change materially affects a contracted customer, the notice and change process in the signed agreement will apply.
18. Contact and notices
Questions and legal notices may be sent to support@alignis.app. Formal notices under a signed customer agreement must use the notice details and method specified in that agreement.
